Job Overview

The Legal Counsel – Corporate Governance will play a pivotal role in advising Dentons Uganda’s corporate clients on governance frameworks, regulatory compliance, and board affairs. This position involves drafting and reviewing corporate policies, advising on statutory obligations, and supporting clients through mergers, acquisitions, and restructurings. The role demands a deep understanding of Ugandan corporate law, strong analytical abilities, and the capacity to translate complex legal concepts into practical business advice. Key Responsibilities

  • Provide expert legal advice on corporate governance, board structures, and compliance with the Companies Act and related regulations.
  • Draft, review, and negotiate corporate policies, shareholder agreements, and board resolutions.
  • Assist clients in preparing for and conducting board meetings, including agenda setting, minutes preparation, and advisory support.
  • Support mergers, acquisitions, joint ventures, and corporate restructurings from a governance perspective.
  • Conduct legal research and stay updated on legislative changes affecting corporate governance in Uganda and the East African region.
  • Collaborate with cross‑functional teams, including tax, finance, and regulatory specialists, to deliver integrated legal solutions.
  • Develop and deliver governance training workshops for client boards and senior management.
  • Maintain accurate client records and ensure confidentiality of all sensitive information.

Required Skills

  • Strong knowledge of Ugandan corporate law, securities regulation, and governance best practices.
  • Excellent drafting, negotiation, and communication skills.
  • Analytical mindset with the ability to interpret complex legal documents.
  • Proficiency in legal research tools and Microsoft Office Suite.
  • Ability to work independently and as part of a multidisciplinary team.
  • High ethical standards and commitment to client confidentiality.

Education

A recognized law degree (LL.B.) from an accredited university, complemented by admission to the Uganda Bar. Advanced qualifications such as an LL.M. in Corporate Law or related fields are advantageous.

Experience

Minimum of five (5) years of post‑qualification experience in corporate governance, corporate law, or a related legal practice, preferably within a top‑tier law firm or in‑house legal department.

Salary

The successful candidate will receive a competitive annual salary ranging from SSP 30,000,000 to SSP 45,000,000, commensurate with experience and qualifications. Additional performance‑based bonuses may be offered.
